These General Terms and Conditions (hereinafter referred to as “Terms and Conditions”) govern your rights and obligations when using AMENA.Co. Your contractual partner is AMENA.Consultancy (hereinafter “AMENA.Co” or “we” or "us"). You can find more detailed information about us in our legal notice.

1.1. Our offers are open to you as a Jobseeker, Freelancer and Tradesman (service provider). In connection with your registration with AMENA.Co, you conclude a framework agreement for the use of the AMENA.Co offers, which are accessible to you with the access data you have chosen (user name and password).

1.2. On the basis of this framework agreement, you can agree with us on the use of other AMENA.Co offers. The services, technical requirements, and – if it is a paid offer – prices for the services you have selected will be displayed to you before the contract is concluded.

1.3. The framework contract begins when we activate the access data you have chosen (Section 2) and is concluded for an indefinite period of time. The framework contract is not transferable.

1.4. When you register, you are obliged to provide correct and complete information, in particular about your identity, address, telephone number, email address, qualifications (e.g. business registration, entry in the craft register, master craftsman's certificate and professional skills) and - if required for billing purposes - a payment method to provide. We may require you to promptly provide us with documentation supporting the information you have provided.

1.5. Even during the term of your contract, you must always keep the information and documents you provide up to date. You can make the necessary changes using the functions we provide.

1.6. Multiple registrations of a contractor (including under different user names) with AMENA.Co is expressly prohibited.

2.1. You may not pass on your access data to third parties. You are permitted to pass it on to your employees for official purposes. Make sure that your employees observe the general terms and conditions.

2.2. Together with your username, please choose a password that is as secure as possible. Please take the necessary measures to protect your password against unauthorized use. Therefore, please do not tell anyone your password. Our staff will not ask you for your password.

2.3. Please inform our customer service immediately if you have the impression that third parties are using your access data without authorization. If we have reasonable grounds to suspect that someone else is using your access data, we may take the necessary measures and, in particular, temporarily block or close access. If third parties use your access data without authorization due to your fault, you must compensate for the resulting damage and pay any usage fees that may arise.

3.1. We inform you about topics that are of interest to you in connection with the use of our services, for example via our help pages. We are also happy to answer any questions you may have using our contact form.

3.2. From time to time you will receive important information about your contract from us. We usually send this information by email to the email address you provided. Therefore, you must always keep your email address up to date and check your email account regularly for messages.

4.1. We endeavor to avoid restrictions, impairments, connection interruptions, or other restrictions on the use of the services to the extent that this is technically possible. Please note that given the current state of communication technology, we cannot completely rule out such restrictions.

4.2. The maintenance and further development of our services require temporary restrictions on use. We make sure that these remain to a reasonable extent for you.

4.3. To protect our systems and third parties from harmful programs and content such as: To protect against viruses, Trojans, or spam emails, for example, we can use technical protective measures. This includes, among other things, the use of filter systems, insofar as such is particularly appropriate to protect telecommunications and data processing systems.

5.1. We will always inform you in advance if a service is subject to a charge. In this case, we will inform you in advance of the prices and performance features as well as the due dates of our remuneration.

5.2. We charge fees for arranging so-called “confirmed contacts” between you and other parties ( Contractors , Freelancers, tradesmen). The amount of the fee will be communicated to you in advance. The fee is due for payment regardless of whether a contractual relationship is established between you and the client.

5.3. Invoices for the fees will be sent to you by email. Invoices are payable within 14 days from the date of the invoice.

5.4. If you do not settle the invoice within the specified period, you will be in default without further reminder. In the event of default, AMENA.Co is entitled to charge default interest at a rate of 9 percentage points above the respective base rate. AMENA.Co reserves the right to assert further damages caused by default.

5.5. If your contractual relationship with AMENA.Co is terminated, you remain obligated to pay any outstanding fees for services already provided.

5.6. You can only offset against claims by AMENA.Co with undisputed or legally established claims.

5.7. You grant AMENA.Co a SEPA direct debit mandate for the collection of fees. AMENA.Co is entitled to collect the fees owed from your specified account via direct debit.

5.8. You are obliged to ensure that the account specified for direct debit is sufficiently covered. Costs incurred due to unsuccessful direct debit transactions, e.g., chargebacks or account overdrafts, shall be borne by you if you are responsible for them.

5.9. AMENA.Co reserves the right to change the payment methods offered. Any changes will be communicated to you in advance.

6.1. As a Jobseeker, Freelancer or Tradesman (Candidate), AMENA.Co offers you the opportunity to showcase yourself and your company through the AMENA.Co profile or as part of your offers. You can include data, text, and images for these purposes, but contact details should only be published in designated platform areas.

6.2. AMENA.Co does not claim any usage or exploitation rights to your content. The contract's conclusion does not affect the ownership and control of intellectual property rights beyond the use for the platform and services.

6.3. You must have the necessary rights for any content posted on our services. Please ensure you have the required rights before publishing content.

6.4. AMENA.Co determines the display of your profile in the profile search through a ranking algorithm based on various parameters. The main parameters influencing this ranking are explained below, with the order corresponding to their weight in the ranking. The 1st parameter has the most influence, and the 4th has the least.

  • Relevance (match between the service offered and the service sought): Ensures contractors offering relevant trades and services are displayed.
  • Geographical Proximity: Clients prefer contractors not too far from the specified place of execution, leading to faster availability and lower costs.
  • User Reviews (number, average rating): Reviews provide valuable indications of past satisfaction with services, influencing the ranking.
  • Interactions with Clients: Evaluate response time to orders, requests, and messages. Higher responsiveness positively affects the ranking.

Randomization is introduced to give new service providers a chance to be ranked higher within their first two months on the platform.

7.1. Users must treat each other with respect, and compliance with communication standards is essential for platform use. Violations will be subject to sanctions.

7.2. Prohibited content includes criminal or administrative offenses, hate speech, discrimination, competitions, threats, and other offensive or misleading content.

7.3. Objective violations will be addressed through measures such as content removal, access blocking, or contract termination.

7.4. Users will be informed about content removal, service suspension, or termination, with exceptions for legal obligations, compelling reasons, or repeated violations.

7.5. Users can respond to allegations within 14 days through a counter-statement, contributing to a comprehensive understanding of the situation.

7.6. Based on the counter-notice, users will be informed of the decision, and if reversed, removed content will be restored.

7.7. Sanction decisions consider the severity of the violation, user behavior, and whether it's a first-time or repeated offense.

7.8. Content is not irretrievably deleted during the counter-response process.

7.9. Users can seek clarification of sanction facts through the internal complaint management procedure.

8.1. Users are reminded of legal provisions against undeclared work and must ensure compliance.

8.2. Regulations on services in certain areas are highlighted, and users must comply with restrictions.

8.3. Violations of terms or laws may lead to necessary measures, from warnings to suspension or termination.

8.4. Suspension, termination, or restriction reasons include not meeting quality criteria, violations, misuse, negative reviews, or non-payment of fees.

Sections 7.4, 7.7, and 7.9 apply accordingly. Full fees are due even in case of suspension.

9.1. Client orders on AMENA.Co are non-binding invitations for service providers to submit offers. Offers must state the actual price, and net prices are allowed only if expressly provided by the client.

9.2. Offers are binding for the order duration and a set period thereafter. Clients can accept offers during this time.

9.3. Orders and offers can only be deactivated or deleted using the provided functions.

9.4. Additional information on orders can be found during the order process and on help pages.

9.5. The contractual relationship for order execution is exclusively between the Talents and Job Providers. AMENA.Co is not a contractual partner and does not guarantee fulfillment.

9.6. If no offer is made within 24 hours of a Job Provider order, AMENA.Co may recommend a general Talent to the client, especially for orders requiring a master certificate.

10.1. Clients and Employers may evaluate Candidates for orders on AMENA.Co to provide a fair and accurate representation of their quality, competence, and reliability.

10.2. Reviews must be based on factual and truthful statements, in accordance with communication standards.

11.1. Personal data is used solely for service provision, use, and billing, following legal requirements and user consent.

11.2. Refer to the data protection declaration for detailed information.

11.3. Service providers can use client data received via the platform only for order-related purposes, with no unauthorized sharing or use.

12.1. AMENA.Co is liable for culpable violation of essential contractual obligations and quality guarantees per statutory provisions.

12.2. Liability exclusions apply to services provided free of charge for damages caused by slight negligence.

12.3. Compensation for injury to life, body, or health, violation of essential contractual obligations, and product liability remain unaffected.

12.4. AMENA.Co acts as a platform for contract brokerage, not a party to contracts. No liability for Job provider or Service provider acts and omissions.

13.1. The framework agreement is indefinite, with termination possible with one month's notice. Paid contracts with a minimum term have specific termination conditions.

13.2. Termination must be in writing. Termination within the minimum term is possible after the term expires.

13.3. AMENA.Co may terminate a contract if there is an important reason, with potential reimbursement for damages in case of non-payment.

13.4. AMENA.Co can terminate the framework agreement with one month's notice, with all existing contractual relationships ending.

13.5. Re-registration after termination requires AMENA.Co's express consent.

13.6. Termination for good cause remains unaffected.

13.7. Once termination is effective, services are inaccessible, and user-provided information is no longer accessible.

14.1. AMENA.Co can adapt the general terms and conditions during the contract term, with changes communicated on a durable medium.

14.2. Changes are valid after the specified period, with a 15-day notice period for termination due to changes. Longer periods may apply if technical or business adjustments are necessary.

14.3. Active use of offers before the deadline is considered a waiver, except for cases requiring significant technical adjustments.

14.4. The deadline is unnecessary for legal or governmental obligation changes or to protect against cybersecurity risks.

If you are a merchant based in Germany within the meaning of the Commercial Code, a legal entity under public law, or a special fund under public law, Hannover is agreed as the place of jurisdiction for all disputes in connection with the use of AMENA.Co.
